WebSection 236 (1) (a) of the Corporations Act stipulates that a person wanting to apply for derivative actions must be: A member, former member, or person entitled to be registered as a member of the company or of a related body corporate; or An officer or former officer of the company; and Acting with leave granted under section 237. Web(1) A director or other officer of a corporation must exercise their powers and discharge their duties: (a) in good faith in the best interests of the corporation; and (b) for a proper purpose. Note 1: This subsection is a civil penalty provision (see section 1317E).
